T7X Introduces Native Tokenization Model

T7X is setting a new standard in capital markets with its innovative approach to security tokenization, emphasizing a model known as "native issuance." This method integrates token creation directly into the authorized security issuance process, ensuring that token holders enjoy the full economic benefits of ownership while maintaining compliance with existing regulations.

Most tokenized stocks currently in circulation replicate traditional securities structures by converting conventional shares into tokens, which can lead to confusion regarding actual ownership. According to Ivan Kan, CMO of T7X, this system often leaves token holders without the rights associated with being a shareholder of record. He argues that a more effective model is necessary, one where the token is inherently part of the security from the outset.

Legal Framework for Tokenization

Leveraging Wyoming's corporate law, which recognizes a "certificate token," T7X's structure allows shares to be represented on a blockchain while ensuring that legal ownership records remain compliant and accessible to regulators. This approach positions the blockchain as a foundational element in managing capitalization tables rather than merely an additional layer.

T7X Equities serves as the transfer agent, maintaining the official records of ownership while facilitating the issuance of tokens. Their first offering under this framework, Tranquil Healthcare Fund I, has been approved by the SEC, allowing for up to $75 million in capital through tokenized shares.

Enhancing Market Liquidity

Kan highlights the broader implications of T7X's model, termed "RWA+", which emphasizes compliance and oversight in tokenization practices. By integrating investor verification and legal ownership into the token from the beginning, T7X aims to eliminate the ambiguity often surrounding tokenized assets. This model is particularly advantageous for companies seeking to raise funds through Regulation A offerings, which permit broader investor participation compared to traditional Regulation D placements.

T7X's approach could significantly enhance liquidity for investors by enabling tokenized assets to trade on secondary markets without the need for custodians, thus streamlining access to capital. CEO Pablo Penaloza anticipates that this innovation will not only accelerate capital formation but also greatly enhance market liquidity, projecting that tokenized portfolios could eventually eclipse the market capitalization of current public offerings.
