Anthropic has officially initiated its journey towards becoming a publicly traded entity, revealing on Monday that it has confidentially submitted a draft S-1 registration statement to the U.S. Securities and Exchange Commission (SEC) for a potential initial public offering (IPO).

This filing allows the developer of Claude to proceed with an IPO once the SEC concludes its review, although the company noted that any offering would depend on market conditions and various other factors.

This news follows Anthropic's recent achievement of raising $65 billion in Series H funding, which reportedly values the company at $965 billion, placing it among the most valuable private tech firms globally.

“Earlier this month, our run-rate revenue surpassed $47 billion,” Anthropic announced on X. “This surge has been fueled by organizations across various sectors integrating Claude into their fundamental operations, alongside an increasing number of individuals utilizing it in their daily tasks.”

The IPO announcement comes in light of several significant developments for Anthropic, including the rollout of Opus 4.8 and the potential public release of its controversial Claude Mythos model.

Anthropic has yet to finalize the number of shares it may offer or the potential price range for the IPO.

This filing aligns with other major AI firms preparing to go public. In May, the Wall Street Journal reported that OpenAI was readying its own confidential IPO submission, aiming for a September listing with Goldman Sachs and Morgan Stanley at the helm of the offering.

In addition, competitor xAI, now integrated with SpaceX, has filed its own IPO seeking a groundbreaking $1.75 trillion valuation, reflecting significant investments in AI infrastructure and Starship development. This IPO would allow owner and CEO Elon Musk to maintain control through a dual-class share structure.

Anthropic did not respond immediately to a request for comments from Decrypt.

Users on Myriad—a prediction market platform run by Decrypt's parent company, Dastan—currently estimate that Anthropic is more likely to go public before OpenAI, giving the Claude developer 58% odds as of now. This shift in odds occurred following the Monday announcement, as OpenAI previously held a 68% chance.
