Shareholders Vote in Favor

Strategy shareholders have overwhelmingly approved a new plan allowing the company's four preferred stocks to accrue dividends daily, with a remarkable 99.3% of votes in favor during a special meeting. This decision marks a significant shift in the dividend structure for the STRF, STRC, STRK, and STRD stocks.

Implementation Timeline

The first daily record date for STRC will be on November 1, with dividend payments scheduled for November 2. The other three preferred stocks will transition to the daily accrual system starting January 1, 2027, with payments following on January 4.

Details of the New Dividend Structure

Under the amended structure, dividends will be accrued every calendar day, including weekends and holidays. However, any record dates that occur on non-business days will be aggregated and paid on the following business day. For instance, if a record date falls on a weekend, it will be treated as if it occurred on the previous Friday, affecting payment schedules accordingly.

Strategic Rationale

Michael Saylor, the chairman of Strategy, highlighted that this change aims to stabilize the volatility of preferred shares, moving from 24 record dates per year to 365. The stock price of STRC was reported at $99.86, just shy of its $100 par value, reflecting the market's cautious sentiment.

Challenges Ahead

In addition to the dividend changes, Strategy is facing potential removal from MSCI's equity indexes due to new rules that could disqualify companies with a balance sheet heavily reliant on a single asset. The final list of affected companies will be released on November 11, adding another layer of uncertainty for the firm.
