Japanese company Metaplanet is set to acquire a controlling interest in U.S.-based Super League Enterprise, transforming it into a bitcoin treasury platform named Superplanet.
The investment will include 2,100 bitcoin and $2.5 million in cash, placing the total value at approximately $134.6 million.
Metaplanet will take a 95.7% share in Super League Enterprise (SLE) through a $134.6 million deal, marking its entry into the U.S. bitcoin treasury market.
The investment comprises 2,100 bitcoin, valued at $132.1 million, along with $2.5 million in cash for the acquisition of 44.9 million common shares priced at $3 each, as well as preferred stock and warrants, according to the companies.
Super League, which had a market capitalization of around $5 million at the close of trading on Monday, will be rebranded as Superplanet and will trade under the ticker SUPA.
Currently, SLE shares are priced at $5.20, reflecting an increase of over 70%.
This move comes after the collapse of the digital-asset treasury sector in 2025, which saw several major bitcoin-holding firms trading below their asset values. Many companies have since been compelled to sell their bitcoin, reduce debt, or shift their focus away from this strategy altogether.
After the transaction, existing shareholders of Super League will hold approximately 4.3% of the new company. Metaplanet will also acquire 10-year warrants for up to 381 million additional shares at exercise prices ranging from $3 to $33.50.
Metaplanet plans to utilize its bitcoin for this investment. CEO Simon Gerovich stated, "We seeded this investment with less than 5% of our Bitcoin, with the ability to contribute much more as the platform grows."
Additionally, the company has the option to invest another $210 million through non-convertible preferred stock over the next two years. Superplanet intends to use its bitcoin as collateral for future preferred stock offerings, with operational income and other cash flows designated for covering dividends.
Super League's current operations will remain separate, with CEO Matthew Edelman managing Superplanet. Metaplanet will appoint five of the nine directors on the board.
The completion of this transaction is anticipated by the fourth quarter of this year.
