Metaplanet, a company listed in Tokyo and recognized as one of the largest corporate holders of Bitcoin globally, is making its entry into the U.S. market by investing in a Nasdaq-listed Bitcoin treasury firm.

As per the announcement made on Tuesday, Metaplanet will provide the Bitcoin, valued at around $132.1 million, along with $2.5 million in cash to Super League Enterprise, a media company focused on gaming, in exchange for equity and warrants.

The company will be rebranded as Superplanet, Inc., trading under the ticker SUPA, and will operate as a fully consolidated subsidiary of Metaplanet, while continuing its existing advertising operations as a separate division. Upon completion of the deal, which is anticipated in the fourth quarter, Metaplanet is expected to hold approximately 95.7% of Superplanet's common shares.

CEO Simon Gerovich characterized the initiative as a way to access the largest capital market globally. He explained that Metaplanet is investing its own Bitcoin, securing its shares, and supporting the company with its financial resources to amplify a unified Bitcoin position across two publicly traded entities. Currently, Metaplanet possesses 43,000 BTC, making it the third-largest corporate Bitcoin holder, as stated in the announcement.

Analysts have noted what differentiates this transaction from the recent trend of shell-and-PIPE treasury deals. Mark Palmer of Benchmark-StoneX, who endorses Metaplanet, emphasized that the funding comes directly from Metaplanet's own Bitcoin holdings rather than through discounted third-party financing.

Palmer also pointed out that the share count was determined on August 14 and will not fluctuate with Bitcoin's price prior to closing, and that the equity was set close to Super League's previous closing price rather than at a negotiated discount, with Metaplanet's shares subject to a five-year lock-up. He has referred to the firm as "the Strategy of Japan" for implementing the Bitcoin treasury model in an environment marked by negative real interest rates and a declining yen.

This development marks a significant step in Metaplanet's broader ambitions beyond mere accumulation. Recently, the company acquired a Japanese securities firm to introduce Bitcoin yield products, launched Bitcoin-backed "Bitbonds," and has previously indicated plans for a U.S. subsidiary with a $250 million Bitcoin initiative.

After the deal's completion, Superplanet intends to release its own Bitcoin-per-share metrics.
