Anthropic Moves Forward with IPO Plans

Anthropic, the AI company known for its Claude models, has officially filed for an initial public offering (IPO) on the Nasdaq under the ticker symbol "ANT." This announcement was made on Monday, with Goldman Sachs and Morgan Stanley leading a group of 24 underwriters for the offering. While the specific number of shares and price range have yet to be determined, both the company and existing shareholders will participate in the sale.

In its S-1 registration statement, Anthropic revealed impressive revenue figures for the first half of 2026, reporting $16.3 billion, a significant increase from $1.2 billion during the same period last year. However, the company also posted a substantial net loss of $80.7 billion, primarily due to a $72.4 billion charge related to changes in the fair value of its convertible notes, reflecting its rising valuation.

Financial Overview

Anthropic's financial trajectory shows considerable growth, with total revenue for 2025 at $4.59 billion, up from $386 million in 2024 and $41 million in 2023. As of June 30, 2026, the company had amassed $141.1 billion in funding, with $112.4 billion in cash and cash equivalents, alongside $19.3 billion in short-term investments.

As of late September, Anthropic reported having over 1,900 customers who generated at least $1 million in revenue over the past year, and about 250 customers contributing at least $10 million. This customer base underscores the growing demand for its AI solutions.

Governance Structure

Anthropic operates as a public benefit corporation, which mandates that its board of directors balance shareholder interests with broader societal impacts. The governance model includes a Long-Term Benefit Trust that will elect a majority of the board members. Notably, an entity controlled by the company’s seven co-founders will hold 50.1% of the voting power, categorizing Anthropic as a "controlled company" under Nasdaq regulations.

Class A shareholders will possess one vote per share, but the filing indicates that this structure may limit their influence on significant decisions, including changes in control. Furthermore, Anthropic has allocated around 847 million non-voting shares to a subsidiary focused on its public benefit mission, with co-founders pledging to donate 80% of their personal equity to philanthropic causes.

This governance approach has sparked discussion among investors, with some, including former White House AI czar David Sacks, questioning its alignment with public benefit objectives.
